Rep Agreement

Independent Representative

You are onboarding as an independent Prosper representative. This relationship is non-exclusive and does not authorize you to bind the company, accept payments on its behalf, or alter approved company documents without written approval.

Term and Renewal

Two-year initial term. Automatically renews in one-year increments unless either side gives written notice ahead of renewal.

Territory and Performance

Prosper may approve the territories you are allowed to work. You agree to use best efforts, comply with applicable law, and operate with professionalism.

Company Materials

You must use Prosper-approved sales and marketing materials, protect confidential information, and stop using Prosper branding if the relationship ends.

Termination

Prosper may terminate immediately for cause, including failure to perform or conduct that reflects unfavorably on the company.
